AtlasForgeX Partner Program Terms

1. Who we are

The AtlasForgeX partner program is run by Tarmex Oy (business ID 3579018-8, Markuntie, 01400 Vantaa, Finland).

By joining the program you accept these terms. You act as an independent business or individual, not as our employee or agent. You cannot sign contracts or make promises on behalf of Tarmex. The program is non-exclusive.

2. The product

AtlasForgeX is B2B software sold to companies. Customers buy directly from Tarmex through Stripe and accept the AtlasForgeX terms of use (atlasforgex.com/terms.html).

Current prices:

• AtlasForgeX Desktop (Windows and macOS): EUR 600 / 2 months + VAT
• AtlasForgeX Mobile: EUR 900 / 2 months + VAT

Subscriptions renew each period until the customer cancels. Tarmex sets prices and gives partners at least 30 days notice of price changes.

3. How a sale is credited to you

You get a personal partner link. It carries your partner tag to atlasforgex.com, where it is saved in the visitor's browser and passed to the Stripe checkout.

A sale is credited to you when your tag is stored with the payment in Stripe. The customer stays credited to you on later renewals.

Limits you should know:

• The tag lives in the browser. A purchase on another device or in a private window may arrive without it.
• If a customer opened links from several partners, the most recent link wins.
• If you believe a sale should be yours, email us within 30 days of the purchase with written proof that the customer bought because of you. We decide fairly and explain the decision.
• No commission for customers who were already paying AtlasForgeX customers before your contact.

4. Commission

• 30 % of the net amount the customer actually paid for each period, excluding VAT and after any discounts.

Example: a Desktop subscription at EUR 600 / 2 months + VAT earns EUR 180 per paid period.

• Paid on every renewal for as long as the customer keeps paying and you remain in the program.
• No commission on refunded amounts (including the 14-day money-back guarantee) or chargebacks. If already paid, it is deducted from later commissions.

5. Statements and payouts

• We calculate commissions per calendar month from Stripe data and send you a statement by the 10th of the following month, listing customer company, payment date, net amount and commission.
• A period is included only after its 14-day refund window has ended. Otherwise it moves to the next statement.
• Businesses invoice us based on the statement; we pay within 14 days. Individuals agree the payment method with us in writing before the first payout.
• Payouts are made by bank transfer in EUR. Each side carries its own banking costs, so any fee your own bank charges on the incoming transfer is yours.
• There is no minimum payout. Every commission that has cleared the refund window is paid in that month's run.
• You can dispute a statement within 30 days of receiving it. We fix confirmed errors in the next statement.
• You are responsible for your own taxes, insurance and costs. We do not cover marketing or travel costs unless agreed in writing in advance.

6. Discounts and coupon codes

• You may not promise customers prices, discounts, payment terms, refunds or features that Tarmex has not confirmed in writing.
• AtlasForgeX has no public coupon codes. Do not publish invented codes, "deals" or discounts.
• You can propose a partner-specific discount (for example a first-period discount with your own code). It goes live only after written approval from Tarmex, and Tarmex sets it up in Stripe. A discount lowers the net amount the commission is calculated from, unless agreed otherwise.
• We never raise the list price to show a discount, and you may not show a "was" price that was never charged.

7. How you may promote AtlasForgeX

• Promote truthfully. Use only facts, results and customer numbers that Tarmex has published or confirmed in writing.
• Market to businesses only, and follow the law where you operate, including the EU GDPR and e-privacy rules when contacting people in the EU. No spam.
• You may use the AtlasForgeX name, logo and materials we provide, only to sell AtlasForgeX while you are in the program.
• Without written permission you may not: bid on "AtlasForgeX" or its misspellings in search ads, register domains, social accounts or business names containing "AtlasForgeX", or present yourself as Tarmex staff.

8. Ownership and confidentiality

All rights to the AtlasForgeX software, trademarks, website and materials belong to Tarmex. Business, customer and commission information shared between us is confidential during the program and for five years after. Each party is an independent data controller for the personal data it processes; we share only what is needed to verify commissions.

9. Ending the partnership

• Either party can end the partnership with 30 days written notice.
• Either party can end it immediately if the other materially breaches these terms and does not fix the breach within 14 days of written notice. Examples of material breach: misleading marketing, taking payments from customers outside Stripe, unlawful direct marketing, fake coupon codes, brand bidding. Deliberate breaches allow immediate termination without a cure period.
• You are paid commission for periods the customer paid before the partnership ended. Exception: if you have at least 500 active paying customers when the partnership ends, and it did not end because of your material breach, we keep paying 30 % on those customers for 12 more months.

10. Liability

Neither party is liable for indirect damages such as lost profit, except in case of intent, gross negligence or breach of confidentiality. Tarmex's total liability is limited to the commissions paid to you in the previous 12 months. You compensate Tarmex for damage caused by your unlawful marketing or by promises that break section 6.

11. General

Changes to these terms, the commission rate or campaigns are made in writing; an email accepted by both parties is enough. You may not transfer your partnership to someone else without our written consent. Tarmex may transfer it together with the AtlasForgeX business. These terms are governed by Finnish law. Disputes are first negotiated and, failing that, settled in the district court of Tarmex's domicile.
